Introduction
These Terms of Service ("Terms") govern your access to and use of the website, products, services, and related materials (collectively, the "Services") provided by IIWIO Pte. Ltd. ("IIWIO," "we," "us," or "our"), a company incorporated in Singapore.
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.
About IIWIO
IIWIO is a product development and venture equity company. We build, launch, operate, and grow AI-native products. We also accept investment and manage equity in the products and businesses we create.
These Terms cover:
- Use of the IIWIO website (iiwio.com)
- Use of IIWIO products and software (each subject to additional product-specific terms where applicable)
- General terms relating to IIWIO's business activities, including investment-related disclosures
Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent that you meet this requirement.
Use of the Website
Permitted Use
You may access and use the Site for lawful, personal, and informational purposes. You may not:
- Use the Site in any way that violates applicable law or regulation.
- Attempt to gain unauthorised access to the Site, its servers, or any connected systems.
- Use automated tools (bots, scrapers, crawlers) to access or collect data from the Site, except as expressly permitted through the Agents interface or with our prior written consent.
- Interfere with or disrupt the integrity or performance of the Site.
- Reproduce, distribute, modify, or create derivative works from the Site content without our prior written consent.
Availability
We aim to keep the Site available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Site at any time without notice or liability.
IIWIO Products
General Product Terms
IIWIO develops and operates multiple products. Each product may have its own specific terms of service, acceptable use policies, or licence agreements. Where product-specific terms exist, they supplement these Terms. In the event of conflict, product-specific terms prevail for that product.
Product Availability
Products may be in various stages of development (active development, beta, or production). We may modify, update, or discontinue any product at any time. We will make reasonable efforts to provide notice of material changes to active products with paying users.
Accounts and Access
Certain products may require you to create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Notifying us promptly of any unauthorised use.
We reserve the right to suspend or terminate accounts that violate these Terms.
Payment and Billing
Where products require payment, billing terms will be specified in the relevant product-specific terms. General principles:
- All fees are stated in the currency specified at the point of purchase.
- Fees are non-refundable unless otherwise stated or required by applicable law.
- We use third-party payment processors. Your payment information is handled by those processors and subject to their terms and privacy policies.
- We reserve the right to change pricing with reasonable notice.
User Content and Data
Where products allow you to upload, submit, or input content ("User Content"):
- You retain ownership of your User Content.
- You grant IIWIO a limited, non-exclusive licence to process your User Content solely as necessary to provide and operate the relevant product.
- We do not claim ownership of your User Content and will not use it for purposes unrelated to providing the product.
- You are responsible for ensuring you have the right to submit your User Content.
AI-Generated Output
Many IIWIO products involve artificial intelligence. Regarding AI-generated content and output:
- AI output is provided "as is" and may contain errors, inaccuracies, or biases.
- You are responsible for reviewing, verifying, and determining the suitability of any AI-generated output before relying on it.
- IIWIO does not guarantee the accuracy, completeness, or fitness for purpose of AI-generated content.
- Ownership and rights to AI-generated output are governed by applicable law and any product-specific terms.
Investment and Venture Equity
Nature of IIWIO's Business
IIWIO operates as a venture equity company. We build and operate products directly, creating equity through product development rather than traditional investment mechanisms. We also accept outside investment into IIWIO and its portfolio of products.
No Offer of Securities
Nothing on the Site or in the Services constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation of any security, investment product, or investment strategy. No content on the Site should be construed as financial, investment, tax, or legal advice.
Investment Disclaimers
- Past performance of IIWIO products or the company is not indicative of future results.
- Investment in IIWIO or its products involves risk, including the potential loss of principal.
- Any investment-related discussions, materials, or disclosures are provided for informational purposes only and are not a substitute for professional financial advice.
- Prospective investors should conduct their own due diligence and consult qualified financial, legal, and tax advisors before making any investment decisions.
Accredited and Qualified Investors
Where IIWIO accepts investment, it may be limited to accredited investors, institutional investors, or otherwise qualified persons as defined by applicable securities laws in relevant jurisdictions, including but not limited to the Securities and Futures Act 2001 of Singapore.
Regulatory Compliance
IIWIO's investment activities are conducted in compliance with applicable laws and regulations in Singapore and other relevant jurisdictions. Nothing in these Terms overrides any obligations under applicable securities, corporate, or financial regulation.
Intellectual Property
IIWIO Property
The Site, its content, design, code, trademarks, logos, and all IIWIO products are the property of IIWIO Pte. Ltd. or its licensors and are protected by intellectual property laws. You may not use, reproduce, modify, or distribute any IIWIO intellectual property without our prior written consent.
Feedback
If you provide feedback, suggestions, or ideas regarding the Site or any product ("Feedback"), you grant IIWIO a non-exclusive, royalty-free, perpetual, irrevocable, worldwide licence to use, modify, and incorporate the Feedback without obligation to you.
Open Source
Certain IIWIO products or components may be released under open source licences. Where applicable, the relevant open source licence terms govern your use of those components and take precedence over these Terms for that specific code.
Disclaimers
"As Is" Provision
The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Warranties that the Services will be uninterrupted, secure, or error-free.
- Warranties regarding the accuracy, reliability, or completeness of any content or AI-generated output.
Third-Party Services
The Services may integrate with or link to third-party services (including AI model providers, payment processors, and hosting providers). We are not responsible for the availability, accuracy, or practices of third-party services.
Limitation of Liability
To the maximum extent permitted by applicable law:
- IIWIO, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services.
- IIWIO's total aggregate liability for any claims arising from or related to these Terms or the Services shall not exceed the greater of: (a) the amount you paid to IIWIO in the 12 months preceding the claim, or (b) SGD 100.
- These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if IIWIO has been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or death or personal injury caused by negligence.
Indemnification
You agree to indemnify, defend, and hold harmless IIWIO, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your use of the Services.
- Your violation of these Terms.
- Your violation of any applicable law or third-party rights.
- Your User Content.
Termination
By You
You may stop using the Services at any time. Where you have an account, you may request deletion by contacting us.
By IIWIO
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include violation of these Terms, suspected fraudulent or illegal activity, or discontinuation of a product.
Effect of Termination
Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will survive, including but not limited to: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.
Governing Law and Dispute Resolution
Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.
Dispute Resolution
Any dispute arising from or relating to these Terms or the Services shall be resolved as follows:
- Negotiation, The parties shall first attempt to resolve the dispute through good-faith negotiation for a period of 30 days.
- Mediation, If negotiation fails, the parties shall attempt mediation administered by the Singapore Mediation Centre (SMC) in accordance with its mediation rules.
- Arbitration, If mediation fails, the dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules. The arbitration shall be conducted in Singapore in the English language, with a single arbitrator.
Exceptions
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information, without the requirement to follow the dispute resolution process above.
General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any product-specific terms, constitute the entire agreement between you and IIWIO regarding the Services.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. IIWIO may assign its rights and obligations without restriction.
Modifications
We may update these Terms from time to time. Changes will be posted on the Site with an updated "Last Updated" date. Material changes will be communicated through the Site. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
Language
These Terms are drafted in English. If translated into another language, the English version prevails in the event of any inconsistency.
